Conditional Sale

When you purchase products from us ("Goods"), you agree to sell or use them only as a direct sale to the public (e.g., retail sales). You are not permitted to resell or transfer these Goods to any third parties, businesses, or intermediaries. Violations may result in legal action, including the recovery of Goods and other remedies as allowed by law.

All orders placed through the website will generate an invoice. A sales representative will contact you to confirm your order details, including any custom designs and applicable shipping rates. Once your order is confirmed with the sales representative, billing will take place.

Authorization of Orders

If you place an order through an agent, representative, or online, it is assumed that the person is authorized to act on your behalf. For online transactions, checking the acknowledgment box serves as your agreement to these terms.

Orders placed through the website are subject to confirmation. A sales representative will review and finalize your order details, including customizations and shipping charges, before billing occurs.

Payment Terms

• United States: Payment is due within 30 days of the invoice date.
• Canada: Payment is due within 60 days of the invoice date.
• Other Locations: Payment terms will be determined case by case.
• Late payments will incur a 1% monthly fee, compounded monthly.

Returns and Credits

• No returns, credits, or deductions will be accepted without prior written approval from us.
• We do not cover handling charges or unauthorized merchandise returns.

Seller’s Liability

Our liability for defective products, late deliveries, or non-deliveries is limited to the difference between the purchase price and the fair market value of the delivered items. We are not responsible for:

• Indirect, consequential, or special damages
• Loss of profit or revenue

No Warranties

We ensure that our products meet the descriptions provided at the time of sale. However, we do not offer any other warranties, including those related to merchantability or fitness for a specific purpose, except where required by law.

Delivery Timeline

Delivery dates refer to the date Goods leave our factory plus 15 days for completion, with a 10-day grace period.

Order Modifications and Cancellations

Orders cannot be modified or canceled once placed. All products are custom-made, and buyers are fully responsible for payment.

Force Majeure (Unexpected Events)

We are not responsible for delays or failures caused by events outside our control, such as:

• Government regulations
• Labor strikes
• Natural disasters
• Manufacturing issues

Conflict Resolution

If there is a conflict between these terms and any other agreement, these terms take precedence.

Governing Law and Venue

This agreement is governed by the laws of Florida. Any disputes will be resolved in Miami-Dade County, Florida.

Entire Agreement

These terms represent the complete agreement between us and you. No additional terms, modifications, or verbal agreements will be accepted unless agreed upon in writing.

Acceptance of Terms

By completing your purchase, signing electronically, or checking a box indicating your agreement, you accept these terms in full.

Personal Guarantee

If you are purchasing as part of a business or legal entity, you personally guarantee payment for all purchases. In case of default, you agree to be personally responsible for the debt and submit to the jurisdiction of Miami-Dade County, Florida.
